Board of Directors

Aliansce’s board of directors is a collective decision-making corporate body, which is responsible for defining and monitoring the implementation of the Company’s general business policies, including its long-term strategies. The duties of the board of directors include, among other matters, electing or removing the officers and supervising the management. According to Brazilian Corporate Law, the board of directors is also in charge of appointing the independent auditors.

Pursuant to Aliansce’s bylaws and Novo Mercado regulations, the board of directors is composed of a minimum of five members, each of whom must be a shareholder, although there is no requirement as to a minimum number of shares they must hold.

The Company’s directors are elected at an annual shareholders’ meeting for a one-year term, which comprises the period between two successive annual shareholders’ meetings and may be reelected or removed at any time pursuant to a decision of the Company’s shareholders.

Born on June 15, 1965. He has worked as the Vice-President of the Real Estate Investments Department for the Americas at the Canadian Pension Plan Investment Board ("CPPIB") since 2010. From 2007 to 2010, he was the head executive of the same department. Before joining CPPIB, Mr. Ballon served as Vice-President of corporate development of TrizecHahn Corporation. He holds a degree in business administration from McGill University and an MBA from Richard Ivey School of Business.
Renato Feitosa Rique Director 03/20/2007
Was born on February 05, 1958 and is one of Aliansce’s founders. On June 18, 2007, was elected chairman of the board of directors and executive president. He holds a degree in economics from Universidade Cândido Mendes. Mr. Rique has been working in the shopping mall industry since 1983. He was the president and chairman of ABRASCE, and vice-president of the Commercial Association of Rio de Janeiro. In 1997, he founded and presided for the first six years over the Institute Newton Rique, a social project focused on the inclusion of adolescents into society.
Marcela Drigo Director 09/06/2017
Born on October 26, 1971, Marcela Drigo work as Director of the Real Estate Investment Department for Latin America at the Canadian Pension Plan Investment Board ("CPPIB"), a Canadian company that operates in the investment fund sector. Marcela has more than 15 years of experience working in the real estate industry. Prior to joining CPPIB, he worked for eight years at Clarion Partners as Head of Investments for Brazil and previously held the position of Vice President of New York-based Capital Trust, responsible for the company's investments in a Brazilian industrial operating platform. Prior to working at Capital Trust, she was with AIG Global Real Estate in New York where she participated in real estate investments in Eastern and Western Europe. He has a bachelor's degree in civil engineering and business administration from Universidade Presbiteriana Mackenzie and holds a master's degree in business administration (MBA) from Columbia Business School.
Renata Amado Rique Director 04/25/2018
Born May 03, 1993. Renata Amado Rique is an economist and holds a bachelor’s degree in International Relations from Yale University (USA). She is currently directly responsible for the investment relationship with eight "ultra-high networth" clients from JP Morgan Securities’ Private Bank (Brazil Team Onshore), a company that operates in the portfolio management area, after having been transferred from the United States to São Paulo in July 2017.
Carlos Alberto Vieira Independent Director 06/18/2007
Born on April 02, 1934. He was elected a member of Aliansce’s Board of Directors on June 18, 2007. He holds a bachelor’s degree from the Fundação Getulio Vargas. He has been a director of Aracruz Celulose since April 15, 1988, being elected Chairman of that Board from April 2004 until March 2009. He is also Chairman of the Board of Directors of Banco Safra S.A., Safra Leasing S.A. Arrendamento Mercantil, Agropecuária Potrillo S.A. and Pastoril Agropecuária Couto Magalhães S.A. Mr. Vieira is a member of the Strategy Committee of Aracruz Celulose, and member of the Board of Directors of the Federation of Brazilian Banks and of ITT Sheraton Brasil and Honorary Consulate General of Haiti in Rio de Janeiro.
Thomas McDonald Independent Director 11/23/2016
Born on November 11, 1964, Thomas McDonald is a partner and co-founder of Jaguar Growth Partners Group, LLC ( "Jaguar").  Headquartered in New York with an office in Sao Paolo, Jaguar is a privately held  investment management firm specializing in real estate private equity in growth markets globally.  Founded in 2013 with Gary Garrabrant, Jaguar invests in and develops scalable real-estate related operating platforms and companies. Mr. McDonald is also a director of Latam Logistics Properties and was a director of  Gafisa (NYSE: GFA), BR Malls (BZ: BRML3), Tenda (BZ: TNDA3), Parque Arauco (SNSE: PARAUCO), Brazilian Finance and Real Estate, Bracor and AGV Logistics.  Until 2012, Mr. McDonald was Chief Strategic Officer for Equity International.  He played a leading role in developing it’s collaborative, partner-oriented investment style through the establishment, building and optimization of relationships, as well as coordination of investments and portfolio management activities .  Mr. McDonald graduated from the University of Notre Dame with a degree in International Relations and received his M.B.A from  the University of Chicago Booth School of Business.
Alexandre Cunha Bagnoli Independent Director 09/06/2017
Born on September 16, 1983 and graduated in production engineering from the Polytechnic School of USP, Alexandre Bagnoli hold a master of science in engineering from Politecnico di Milano, completed Bruce Greenwald's course at Value Investing at Columbia Business School and holds the right to Chartered Financial Analyst. Alexandre Cunha Bagnoli is a partner and investment analyst at Constellation. He joined the company in May 2012. He is currently the analyst responsible for analyzing the commercial property, education, metals & mining and aerospace sectors. Previously, he was an associate-director at BTG Pactual in capital markets (ECM) within Investment Banking, where he was involved in several IPOs, Follow-ons and other capital market operations. Alexandre also worked as an analyst in the Investment Banking area of Bank Boston.

Board of Executive Officers

The Company’s executive officers are its legal representatives, and are principally responsible for Aliansce’s day-to-day management and for implementing the policies and general guidelines established by the board of directors.

According to Brazilian Corporate Law, all of the officers must be residents of Brazil and may or may not be the Company’s shareholders. In addition, a maximum of one-third of the directors may also serve as officers.

Aliansce’s executive officers are elected at a meeting of the board of directors for one-year unified terms, reelection being permitted. The board of directors may elect to remove officers at any time.

According to the Company’s bylaws, the board of officers may be composed of, at least three and at most nine members. Each officer can hold more than one of the following positions: (i) chief executive officer (Diretor Presidente), (ii) executive officer (Diretor Executivo), (iii) chief financial officer, (iv) chief operating officer, (v) chief legal officer, and (vi) investor relations officer. In accordance with the Novo Mercado regulations, prior to taking office the officers are required to execute an instrument of adherence to the rules and regulations of the Novo Mercado.

Rafael Sales Guimarães Chief Executive Officer 05/10/2017
Rafael Sales joined Aliansce in May of 2017 as Executive Vice President, and was elected Chief Executive Officer in July of 2018, succeeding Renato Rique, and is responsible for operational, financial and investment activities. Previously, he was a partner and portfolio manager at Constellation Asset Management, where he worked from 2007 to 2017. Prior to joining Constellation, Rafael worked at FAMA Investimentos from 2005 to 2007, where he was responsible for the corporate governance department. Mr. Sales also worked for six years as an associate lawyer at Mattos Filho Advogados, dedicating himself to financial, capital market and M&A operations. He has served as a member of the Board of Directors and Fiscal Council of publicly-traded companies in Brazil. Rafael has a Law Degree from Universidade Mackenzie (São Paulo, Brazil).
Renato Ribeiro de Andrade Botelho Chief Financial and Investor Relations Officer 03/20/2007
Was born on June 27, 1958 and has been working as Aliansce’s chief financial officer in the shopping mall industry since 1997. Mr. Botelho holds a degree in civil engineering from the Pontifícia Universidade Católica do Rio de Janeiro (PUC-RJ). He has fifteen years of experience working at financial institutions. Between 1982 and 1997, he worked as an executive at Lloyds Bank, Citibank, Banco Nacional and Unibanco.
Leandro Lopes Chief Operating Officer 10/02/2017
Born on December 16, 1974, Leandro Lopes holds a degree in Economics from the University of the State of Rio de Janeiro (UERJ) with an MBA in Business Management from IBMEC and an extension in corporate finance from U.C. Berkeley. He has worked in different areas of the retail sector for over ten years. Joined the shopping mall industry in 2007, having built a successful career with experience in the commercial, operational and financial areas. He joined Aliansce in October 2017 as Chief Operating Officer.
Paula Guimarães Fonseca Chief Legal Officer 06/18/2007
Was born on May 13, 1967. She graduated as a lawyer in 1990 from PUC-RJ. Since 2006 she acted as Aliansce’s director of new businesses and since 2009, with the extinction of the area, she has been responsible for the Legal Office. Until 2000, she worked as a lawyer at the companies Hunter Aranha and Michelin and at the law offices of Castro, Barros, Sobral and Xavier and Nonato & Fonseca. From 2000 to 2005, she was the chief executive officer of InVent, a venture capital company in the Internet business.
Ewerton Espínola Visco Officer 11/12/2009
Was born on February 10, 1958 and is graduated in business. He has been working in the shopping mall industry since 1987. Since the Company’s founding, Mr. Visco has held the position of regional officer for the planning, development and management of the portfolio. Mr. Visco has coordinated the development of fifteen malls in ten cities in the Northern, Northeastern and Southeastern parts of Brazil. In November 2009 he became an officer of Aliansce and he is currently a member of the board of ABRASCE.
